However, by submitting or creating any content as part of a CHAI-facilitated program, the Client grants CHAI an automatic, non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, display, and archive the creative work or submission solely for internal administrative, educational, and clinical purposes, such as inclusion in the client’s secure clinical file, use in anonymous, aggregated case studies for practitioner training, or for internal quality control reviews. We absolutely commit that CHAI will never publicly display, commercially license, or utilize any client-generated creative work or personally identifiable submission for external promotional or marketing purposes without first obtaining the Client’s separate, specific, and explicitly written consent, which will be governed by the disclosure provisions outlined in our Confidentiality and Privacy Policies. The Client explicitly agrees to approach our services with realistic expectations, understanding that participation is voluntary and does not constitute a promise or guarantee of a specific cure, defined outcome, or freedom from pre-existing conditions, thereby assuming full responsibility for the personal investment and effort required to achieve their own self-defined goals within the healing process, recognizing the inherently subjective nature of wellness transformation.
Assumption of Risk and Waiver of Claims
Voluntarily Engaging in Self-Discovery with Full Awareness of Risks
By enrolling in and participating in any service offered by the CONNECTICUT HEALING ARTS INITIATIVE, especially those involving physical movement, expressive techniques, or deep emotional processing—including, but not limited to, yoga, mindful movement classes, somatic experiencing sessions, or emotionally intense therapeutic art groups—the Client explicitly acknowledges, understands, and voluntarily assumes all risks, foreseeable or unforeseeable, associated with such participation. The Client further agrees, to the maximum extent permitted by applicable law, to forever waive, release, and hold harmless CHAI, its owners, practitioners, employees, volunteers, agents, successors, and assigns from any and all claims, liabilities, demands, actions, or causes of action arising out of or related to any loss, damage, injury, or illness sustained by the Client, or any property damage, that occurs as a direct or indirect result of the Client’s voluntary participation in CHAI’s services, programs, or use of its facility, ensuring CHAI is protected from liability where no clear negligence is proven.
Limitation of Organizational Liability
Defining the Maximum Extent of CHAI’s Financial Accountability
In no event shall the CONNECTICUT HEALING ARTS INITIATIVE, including its officers, directors, employees, agents, or affiliates, be held liable to the Client or any third party for any indirect, incidental, punitive, consequential, or special damages, including, but not limited to, lost profits, lost revenue, lost data, or damages for emotional distress, arising out of or in connection with these Terms, the use of or inability to use the services or website, or any breach of warranty, regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if CHAI has been advised of the possibility of such damages. The Client explicitly agrees that, should any liability be found against CHAI, our total aggregate liability arising out of or related to these Terms, the services provided, or the Client’s participation shall be strictly limited to the total amount of fees actually paid by the Client to CHAI for the specific service or program directly giving rise to the claim in the twelve (12) month period immediately preceding the date the claim first arose. This limitation of liability is a fundamental, non-negotiable term of the bargain between CHAI and the Client, reflecting the complementary, non-medical nature of our services and the shared assumption of risk inherent in deeply personal therapeutic and wellness work.
Indemnification
Client’s Obligation to Protect CHAI from Third-Party Claims
The Client explicitly agrees to fully defend, indemnify, and hold harmless the CONNECTICUT HEALING ARTS INITIATIVE, including its owners, practitioners, directors, employees, agents, affiliates, licensors, and service providers, from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees, including reasonable attorneys’ fees, arising out of or relating to the Client’s material violation of these Terms and Conditions or the Client’s use of the CHAI services, content, or facility, particularly where such actions lead to a third-party claim against CHAI. This obligation to indemnify specifically includes, but is not limited to, any claims or legal actions brought against CHAI by a third party (including another participant, a family member, or a business entity) alleging physical injury, property damage, financial loss, or emotional distress resulting directly from the Client’s negligent actions, willful misconduct, failure to disclose relevant health information, or breach of the confidentiality agreement regarding fellow participants’ sensitive disclosures during group sessions. The duty to indemnify further extends to any claim arising from the Client’s unauthorized use of CHAI’s intellectual property, or any claim related to the Client’s failure to abide by applicable local, state, or federal laws while utilizing our services or facility. CHAI reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by the Client, in which event the Client will fully cooperate with CHAI in asserting any available defenses and will fully reimburse CHAI for all defense costs incurred.

The Legal Authority Over This Binding Agreement
These Comprehensive Terms and Conditions and the entire legal relationship between the Client and the CONNECTICUT HEALING ARTS INITIATIVE shall be exclusively governed by and construed in accordance with the internal substantive laws of the State of Connecticut, United States, without giving effect to any choice or conflict of law provision or rule that would cause the application of the laws of any jurisdiction other than the State of Connecticut. The Client and CHAI explicitly and irrevocably agree that any dispute, claim, legal action, or proceeding arising out of or relating to these Terms, the provision of services, or the use of the facility that is not subject to the mandatory mediation provision below, shall be brought and maintained exclusively in the federal or state courts situated in Fairfield County, Connecticut, and the Client hereby irrevocably submits to the exclusive personal jurisdiction of such courts for the purpose of litigating all such matters, thereby waiving any jurisdictional or venue objections to those specific forums. This clause ensures legal clarity and efficiency by centralizing all potential legal disputes within the geographical jurisdiction of our primary operational location.

In the spirit of collaboration, confidentiality, and intentional conflict resolution that aligns with the core principles of our healing arts philosophy, the Client and the CONNECTICUT HEALING ARTS INITIATIVE explicitly and mutually agree that, prior to initiating any formal litigation or legal proceeding, any and all disputes, controversies, or claims arising out of, relating to, or in connection with these Terms, the services provided, or the breach thereof, shall first be submitted to good-faith, confidential, and mandatory non-binding mediation. The mediation shall be conducted by a single mutually agreed-upon mediator located in Fairfield County, Connecticut, with the costs and fees of the mediator to be shared equally by both parties, and the mediation process must be initiated within thirty (30) days of one party providing written notice of the dispute to the other. Only if the parties are completely unable to resolve the dispute through good-faith mediation within ninety (90) days from the date of the initial mediation session, may either party then proceed to seek appropriate legal remedies in the courts of Fairfield County, Connecticut, as specified above. Maintaining the Enforceability and Integrity of the Agreement
Should any singular provision or clause of these Comprehensive Terms and Conditions be found by a court of competent jurisdiction or a mediator to be unlawful, invalid, void, or for any reason unenforceable, that specific provision shall be deemed severable from the remainder of the Terms and shall not in any way affect the validity and enforceability of all other remaining provisions, which shall continue in full force and effect as if the invalid clause had never been included, preserving the maximum possible scope of the agreement. The Client may not assign, transfer, or sublicense any of the rights, licenses, or obligations granted or assumed under these Terms to any other external party without the express, prior written consent of the CONNECTICUT HEALING ARTS INITIATIVE, whereas CHAI retains the full and unrestricted right to assign or transfer these Terms, in whole or in part, without any prior notice or consent to a successor entity in the event of a merger, acquisition, or sale of assets, ensuring the continuity of the legal agreement. Furthermore, the failure of CHAI to insist upon strict performance of any provision of these Terms or to exercise any right or remedy provided for herein shall not be deemed a permanent waiver of that right or remedy, nor shall it relieve the Client from compliance with the ongoing obligations contained in these Terms.
Entire Agreement and Right to Future Amendments
The Comprehensive Nature of This Governing Document
These Comprehensive Terms and Conditions, alongside our separately published Privacy Policy, Safety Waivers, and any specific written contractual agreements related to unique services or retreats, collectively constitute the entire, complete, and final agreement between the Client and the CONNECTICUT HEALING ARTS INITIATIVE with respect to the subject matter contained herein, superseding and replacing all prior or contemporaneous understandings, representations, agreements, and warranties, whether written or oral, regarding such subject matter. The Client expressly acknowledges that no verbal assurances, external statements, or prior advertisements made by CHAI staff, practitioners, or affiliates outside the confines of these written documents form any part of this binding agreement. CHAI explicitly reserves the unqualified right, in its sole discretion, to modify, amend, update, or replace any part of these Terms at any time, with the modified version becoming effective immediately upon its posting to our official website, and the Client’s continued utilization of our services or website following the effective date of any such modification constitutes their full acceptance of the revised Terms. It remains the sole responsibility of the Client to periodically review these Terms for any changes, ensuring continuous awareness and compliance with the most current governing agreement for all interactions with our healing sanctuary.
